Waldron Kraemer

Wally Kraemer concentrates his practice on representing and advising business entities. A Phi Beta Kappa graduate of Colgate University and a Cum Laude graduate of Harvard Law School, Kraemer has served as Chairman of the New Jersey Board of Bar Examiners and President of the Essex County Bar Association For many years he served, along with four distinguished law school professors, on the committee that drafts questions used on the Multistate Bar Examination He has served as Chairman of the New Jersey Supreme Court’s Ethics Finance Committee, as a member of the New Jersey Supreme Court’s Disciplinary Review Board, and has chaired several New Jersey State Bar Association Committees Upon his graduation from law school he served as law secretary to New Jersey Supreme Court Justice Nathan L Jacobs Mr Kraemer has represented corporate clients in a wide variety of transactions, including matters such as: Taking a computer peripheral manufacturer from initial incorporation through several private placements, a public offering and ultimate sale to a manufacturing conglomerate Representing several different roll-up acquirers in numerous acquisitions and thereafter in the sale of the combined acquired companies Representing a multinational chemical company in a Bankruptcy Court acquisition of a strategic manufacturing facility Representing a medical instrument manufactures in its sale to a major pharmaceutical company Service as board member to public and privately held companies Representing management of several public companies in connection with proxy contests Representing buyers and sellers in well over 100 acquisitions, mergers and divestures of varying sizes Kraemer has tried numerous jury and non-jury trials and has argued many appeals in the Appellate Division, the New Jersey Supreme Court and in the Third Circuit His name appears in 34 published opinions Most of his representation has been on behalf of corporate clients in matters as diverse as antitrust, employment, product liability, corporate mergers, proxy litigation, RICO, contract disputes and eminent domain proceedings Representative cases include: Dermody v Sticco, New Jersey Superior Court, Chancery Division Represented International Controls Corp in defense of class action challenging “fair value” it paid for shares of Datron, Inc in merger Court ruled that “fair value” was in fact paid First New Jersey ruling that investment banking expert testifying on behalf of International Controls could use discounted cash flow methodology in supporting “fair value” opinion Biotronik Mess-und Therapiegeraete GmbH & Co v Medford Medical Instrument Company, United States District Court – Represented German Company in obtaining enforcement pursuant to United Nations Convention on the Recognition and Enforcement of Foreign Arbitral Awards of an arbitration award entered by the International Chamber of Commerce at Berne, Switzerland • Malin v Union Carbide Corp , Appellate Division, New Jersey Superior Court Represented major chemical manufacture in upholding a defense favorable judgment not withstanding the verdict in connection with a major products liability claim In re Fairfield General Corp New Jersey Supreme Court Case involved a contract to sell a privately configured Boeing 707 from a company formerly
